Improvements to the Draft Certificate Experience

We are continuing to enhance the experience for companies reflecting the fundraises through Carta. 

What’s new?

Our Draft Certificate Experience can extract information from Stock Purchase Agreements (SPA), saving company administrators time when issuing investor shares after fundraising.

Who is this available for? 

All company administrators can upload and extract data from Stock Purchase Agreements to reflect priced rounds.

Main Value Proposition

The Draft Certificate Experience powered by document extraction saves you time, money, and makes sure your cap table data matches the legal documents after certificates are issued from a new round.

How do I use it?

1. Navigate to Securities, then Shares

2. Click "Draft Shares", then select "Create a new draft set"

3. Select Yes to confirm the draft set is related to a new investment round and click "Create new draft set" to proceed. You can change the Draft set name at this point.

4. Drop the Stock Purchase Agreement, select the effective date and click continue.

5. Wait for our AI tool to extract the document's information and populate the draft set.

6. Scroll all the way to the right to find the SPA attached to the certificates.

7. Once the certificates are issued, you can find the SPA under the Documents and Notes tab when clicking to see the certificate.


Anything else I need to know? 

Attaching the Stock Purchase Agreement is not mandatory for issuance. You can choose to remove the document during step 6, while the certificates in draft are being reviewed and updated.

Custom Paybands

What’s new?

Carta Total Compensation is excited to introduce Custom Paybands, a new feature that allows customers to define, manage, and evaluate compensation using their own salary and equity ranges. Previously, users relied on benchmark-based market bands; however, with Custom Pay Bands, customers can now set their own pay ranges for specific job areas and levels, ensuring alignment with their internal compensation strategy.


How can I access paybands?

  1. Navigate to the Paybands page in Carta Total Compensation
  2. Review the details of your Compensation Plan
  3. Click “Create Paybands”

  1. You’ll be shown a list of paybands that have been automatically created for you

How do I edit paybands?

  1. From the Paybands screen, click on the payband that you’d like to edit
  2. Click edit on the individual payband page
  3. You can now enter new minimum, target, and maximum salaries/equity grants for each level. You may also enter notes to document any decisions. You can also rename the band.
  4. Click “Save” to return to the individual payband view

How do I create paybands for multiple locations?

  1. Under Compensation Plan, navigate to Payband settings
  2. Select a location where you would like to create paybands
  3. Set an adjustment factor off of top-of-market benchmarks for the new location
  4. Click + add location adjustment to add  more locations
  5. After editing this section, click on Preview & Save so the system can re-calculate the scorecard

Note: You will need to enter all relevant locations here in order for employee comparisons on the Scorecard to be accurate.

Mobile Investor Cap Table Access

Get connected with your portfolio companies directly from your phone: soon, investors will be able to view cap tables from the mobile app, in addition to requesting access to cap tables directly from the company page.

Who is this available for?

This is available in the iOS mobile app for any investor’s personal portfolio, as well as investment firm administrators. If you don’t have the app, just search for “Carta” in your phone’s app store.

How do I use it?

If you haven’t downloaded the mobile app, now is a great time to do so. Once you have it installed, you can find this by logging in and selecting a company from your investments list. From there, you will either see the cap table and financing history, indicating you already have access, or a ‘Request cap table access’ button. Clicking that button will send a prompt to the company requesting that they grant access.

Once you’ve submitted your request, you can check updates directly from the same screen:

Draft & Save Issuances in the Interest Issuance Workflow

Description
The interest issuance flow got a major upgrade. Now, users are able to create one or many draft issuance sets and can then work on populating the issuance spreadsheet on their own time. As partial or full data is entered, that can be saved to prevent data loss & rework. Once the issuance set is populated and reviewed it can be issued to the cap table. In addition to saving data, holder data is now entered on the issuance spreadsheet to further streamline this process. View and export Cap tables by financing round dates

When selecting a historical date to view their cap table, users can now see the dates of major financing milestones in the selector. This feature simplifies the process of navigating to various financing rounds and viewing the historical cap table at those specific points in time. The feature is now live for all companies and available to investors who have the appropriate level of cap table access for the companies they are viewing.

[Beta] Audit Investment Confirmations on Carta

This month, we released a new tool to our pilot audit partners, designed to help funds and their portfolio companies complete investment confirmations during their audits. Our new tool allows auditors to manage the process directly on Carta, GPs to monitor and approve confirmations sent to portfolio companies, and portfolio companies to easily respond to confirmation requests without the burden of downloading and filling out PDFs.

For Auditors

Once Auditors get added as an auditor to the fund's Carta count they will be able to create, schedule and download investment confirmations.  

For Funds

GPs and Fund CFOs are able to view auditor's selected portfolio companies, review the contact information, approve the confirmations being sent the portfolio companies. 

For Companies

For companies, its never been easier to respond and complete investment confirmations. They will receive an email from the auditor and fund, and then be prompted to go to Carta to complete and sign the form in just a couple clicks.

Recent releases for QSBS eligible companies and their shareholders

We are continuing to enhance the experience for QSBS-eligible companies and their shareholders. Recently, we have introduced the following features:

1. View previously sold QSBS eligible shares

Shareholders and admins can now see previously sold shares that were QSBS eligible. Users can view this information on Carta directly, as well as the QSBS PDF statement available for download by shareholders.

2. QSBS columns added to the Investment dashboard export

Investors with holdings in QSBS eligible companies can now see the QSBS status, and if applicable, number of QSBS eligible shares the hold in the Investment dashboard export.

3. Financing history now included QSBS Attestation letter's to Company admins

Our QSB Attestation letter to companies now includes a section detailing the financing history of the company. This information impacts the 'aggregate gross assets' test our team preforms during the analysis.

Schedule the Release of Your Fund Financials to Investors

At Carta, we are on a mission to have your quarterly and annual fund financials delivered faster each period. We understand that our customers may want these financials sent to their investors at the same time as an event, such as sharing multiple funds on the same date or sharing with an investor update. To help you do this, we've released functionality that lets you schedule the release of your financials to a future date.

To schedule their release, select the Approve and Schedule options once financials have been thoroughly reviewed. You'll be prompted to answer a few questions about how you would like the report shared, who you would like to share it with, and on what date.

 

Once scheduled, you will see the approval task completed and see when the scheduled release is set for. 

When the day of your scheduled release arrives, we'll share the documents with the selected investor using the information submitted.

Financial Reporting milestone support and a new revamped UI

Financial Reporting is improving the vesting schedule types supported and updating the UI so it's easier than ever to set it up and generate reports.

What's new?

New milestone award support

Milestones are a type of vesting schedule that can be set up at the grant level and that are vested by admins upon holders accomplishing certain achievements. Milestones can be used as a catch all alternative where a performance condition will not suffice. See this support article for information of what vesting schedule types fall under 'milestone vesting' at Carta.

Milestone awards that were granted historically will true up on the next report run in Financial Reporting. Any expense that would have been attached to these historically will be booked in the most recently run period. Contact 718@carta.com if you would like to discuss how to treat these awards.

Milestone awards with performance conditions are not supported at this point and will show at the errors tab of the disclosure report.

New revamped UI

1. New landing page (for new users)


2. Reduced workflow for setup by applying sensible defaults so users can generate reports with 1 click (for new users only).


3. Dedicated page showing the latest report, so users can easily access it and download again (for all users).


4. New manage settings button (for all users).


5. New report button now located in the report workflow modal (for all users).

Quarterly benchmark refresh - Q4 2024

What’s new?

We have updated salary, total cash compensation, and equity benchmarks for all job areas and specializations across both valuation and headcount based peer groups, as well as for Life Sciences-specific roles 

Benchmark Trends

In aggregate, salary and total cash compensation benchmarks are slightly higher than our last release, increasing by 1%. These increases were consistent across all valuation peer groups and levels. Similar to previous updates, specialization level data continues to change more than the broader sample, as sample sizes for these roles are smaller than job area level data. 

Equity benchmarks are increasing in aggregate, showing about a 2% increase versus last quarter. Similar to last quarter, increases are fairly tightly correlated with company valuation, with higher valuation benchmarks seeing the largest increases.

Updated headcount based benchmarks continue to show larger than typical increases or decreases compared to our initial release for a number of roles. This is a result of additional data, improvements to our underlying models, and feedback from customers.  Going forward we expect these benchmarks to be less volatile over time (similar to our valuation-based benchmarks). 

The same is true for Life Sciences benchmarks. This quarter marks the first update of these benchmarks since their initial release. Since their initial release the sample size underlying these benchmarks has increased significantly (a roughly 50% increase in employee records), which caused larger than typical increases or decreases for a number of roles.

What were the largest areas of movement from these benchmarks?

Salary - Salary benchmarks for most job areas and specializations are within 2% of last quarter’s data. 

Equity - Equity benchmarks are generally within 5% of last quarter’s benchmarks. Roles that are increasing by more than 5% are Partnerships and Strategy.

How do I update my benchmark version?

You can also preview the new benchmarks on your Scorecard by navigating to the Benchmarks page and clicking on the "Preview benchmarks" bubble in the top left.

Here you will have the opportunity to preview the new plan with the updated benchmarks version and assess their impact on your Scorecard before accepting the new plan.
