E-signature witnessing for LP subscription documents

LPs can now nominate a witness to provide a digital witness signature to their subscription documents during closings. 

What’s new?

Certain jurisdictions legally require a witness for subscription documents. A witness is a third-party individual who observes someone signing a document and provides a signature themselves to confirm that the original signature is genuine.

Previously, signature witnessing was a clunky process which involved downloading and signing physical documents. Now, signatures can be securely witnessed online in a few clicks. 

Who is it available for? 

Digital witnessing is available to fund administration customers and their LPs when closing a fund domiciled in the UK, Jersey, Singapore or the Cayman Islands.

How do I use it?

As an LP:

Upon signing the subscription documents, you will be prompted to add a witness and enter their details to complete signing. The witness will then receive an email. You can nudge the witness by resending the signature request email. 

As a witness:

You will receive an email informing you of the witness signature request.

Follow the link in the email to witness the signature on the LP’s subscription documents. 

After you have signed, you’ll receive an email confirming that the process is complete. 

As a GP:

You’ll be able to track the progress of signatories within Carta. 

When all signatures are complete, you can countersign the subscription documents.

Closings for Cayman-domiciled funds

What’s new?

Global investors often choose to domicile funds in the Cayman Islands, due to its regulatory framework and popularity among LPs. Carta now better serves GPs and LPs in Cayman-domiciled funds with an enhanced Closings experience. 

What’s important about this?

This release allows GPs of Cayman-domiciled funds to offer a smooth onboarding experience to LPs, while ensuring compliance with Cayman Islands legal requirements. To meet these compliance standards, we have introduced: 

  • Witnessed signature collection on subscription documents
  • A Cayman-compliant investor questionnaire, guiding LPs through necessary disclosures and regulatory checks required for investors in the Cayman Islands

Who is this available for?

This update is available for funds domiciled in the Cayman Islands. 

How do I use it?

Funds domiciled in the Cayman Islands will automatically benefit from these updates, with no further action required. LPs will be guided through a Closings experience tailored for Cayman-domiciled funds.

A New Standard for Closings

What’s new?

We’ve enhanced Carta Closings to give General Partners (GPs) greater visibility into their fundraising progress and provide Limited Partners (LPs) with more flexibility in how they complete subscription documents.

With these updates, GPs can now set clear fundraising goals, manage prospective investors across their pipeline, track progress in real time, and upload offline documents for institutional LPs. LPs also gain multiple signing options to make their subscription process more flexible.

Why is this important?

Fundraising can involve countless emails, manual document handling, and a lack of clear tracking. With these improvements, GPs can better manage their fundraise all in one place while offering LPs a smoother, more efficient signing process.

Key benefits:

✅ Flexible LP signing options – LPs can complete online, download and sign manually, or delegate the task.

✅ Clear fundraising tracking – Set and monitor a fundraising goal with real-time updates while simplifying investor management throughout each stage of your fundraise.

✅ Simplified document workflows – GPs can upload countersigned subscription documents directly in Carta, eliminating email follow-ups.

✅ Streamlined investor management – View and take quick actions based on the stage of your prospective investors. You can additionally filter by status, view KYC results, and archive any prospective LPs who aren’t moving forward.

How does it work?

1️⃣ Flexible Investor Signing Options

LPs can now choose how they want to complete subscription documents:

  • Complete and sign online
  • Download to complete manually, sign, and re-upload
  • Delegate to someone else

2️⃣ Track Your Fundraising Goal

GPs can now set a fundraising target in Carta and track progress across every stage of their fundraise.

3️⃣ Upload Countersigned Subdocs Directly

For LPs who prefer to complete documents offline from the start, GPs can now upload fully executed subdocs directly into Carta.

4️⃣ Manage Your Investor Pipeline 

Easily organize your investor pipeline through status filters, gain real-time visibility into each investor's KYC process, and archive LPs who aren’t moving forward. Archived investors are still accessible via a “Show archived” filter for future reference.

LP Wire Instruction Confirmation

What's new?

You can now send a confirmation request to your LPs directly from Carta, allowing them to easily add or confirm their wire instructions prior to a distribution.

What’s important about this change?


We’ve made it easier to confirm the accuracy of LPs' wire instructions.

Prior to a distribution, you can now send a request to an individual LP, a group of LPs, or all LPs in the distribution to update or confirm their wire instructions.

Once the request is sent, your LP will receive an email from Carta prompting them to update or confirm their wire instructions in their LP Portal.

Once updated or confirmed, you will see a new status of Confirmed next to the LP’s name in the Wire Instructions Status column in your Partners tab as well as a complete Audit Trail of who added and confirmed the LPs wire instructions. 

What do I need to do?

After submitting a distribution request in Carta, click Request Wire Instructions. You can also initiate this request at any time by using the Request Wire Instructions button on the Partners page.

Select the individual investors or group of investors you’d like to send a request to. Set a deadline and optionally customize the email message your LPs will receive. Review the contacts that will receive the notification and then click Send.  

Your investors will receive an email asking them to add or confirm their wire instructions are current. After clicking Review wire instructions, they’ll be directed to their LP Portal where they can easily add or update in a few clicks.

You’ll now see an updated status in your Partners tab of Confirmed or Pending (awaiting confirmation from your LP) with the date of confirmation or the date the request was sent. Giving you increased visibility into how current your LPs wire instructions are.

Improved LP Tax Document Center

What's new?

LPs can now easily filter, find, and download tax documents.

What’s important about this change?

A smoother tax season for investors. 

We’ve improved the Documents tab in our LP Portal so investors can easily:

  • Filter documents: By document type and tax year
  • View statuses: Including which entities have shared K-1s and which haven’t 
  • Bulk download: Download all tax documents in a single click 

What do I need to do?

Navigate to the Documents tab of your LP Portal and select the tax year you’d like to access tax documents for.

See which documents you’ve already viewed and which entities have shared their K-1s versus which are still pending. 

Download documents individually by clicking View or bulk download documents by clicking Download all.

Limited Partner Mobile Experience

What's new?

LPs can now manage their investments, all from their mobile device.

What’s important or valuable about this change?

Access your investments, now on the go.

LPs can manage their fund investments and personal investments from anywhere, at any time.

What do I need to do?

Download the Carta mobile application, suited for iOS and Android devices, from your app store. Then login using the same information used to login to your LP Portal on the web application. Once on the home screen, select the fund investment or personal investment you’d like to view: 

If a fund investment is selected, you’ll be able to view key investment details like called capital and net asset value. Plus, you can view, download, and send all fund investment documents like partner capital account statements (PCAPs) and  K-1s. 

If a personal investment is selected, you’ll be able to view key ownership information like share amount and issue date. 

For fund investments, once on Investment Details, scroll to access your fund documents. Select View all  to view, search, and filter all fund documents. Use the search bar at the top to search by document name. Or select Filter to filter by document type like PCAPs, capital calls, or tax. 

Once your document is selected, select the export button to markup, send, or download.

Instant KYC for Non-Individual LPs Completing Subscription Documents

Non-individual Limited Partners who complete subscription documents on Carta can now be KYC’ed instantly.

What’s New

This release is a follow-up to our KYC for Individual LPs feature. If your fund leverages Carta’s KYC/AML service and you have non-individual Limited Partners (LPs) completing subscription documents in Carta, these LPs can now be instantly KYC’ed on the platform. Carta instantly KYCs the LP's control person and beneficial owner(s) in addition to the LP entity itself.

Carta’s instant KYC feature is made possible by Carta integrations with identity and verification databases like LexisNexis, Ekata, Socure, and more.


Limitations

  • For this release, only US-based LPs are supported for instant KYC. Future releases will extend support to non-US LPs


How it Works

  1. As an LP completes their subscription documents, non-individual LPs (for funds that avail of Carta’s KYC/AML service) will see a dedicated Know Your Customer section. Upon landing here, LPs will first be asked if their control person and beneficial owner(s) are all US persons - 





  2. If the control person and beneficial owner(s) are all US persons, then the LP will be shown forms to enter KYC information for these individual(s) -






  3. Finally, the LP is also able to upload any entity formation documents and photo IDs here:



  4. Once subscription documents are signed by the LP, the following are instantly KYC'ed: the LP entity, control person, and beneficial owner(s). If all pass KYC, this is immediately reflected in the Carta UI and General Partners are notified to countersign -


    Timing: Rolled out to all on Aug 31, 2021

Fund performance metrics on Carta

We know how important Carta is in helping fund managers manage and track the performance of their funds. This month we've add a host of new features to help fund managers get and understand the metrics they need about their funds. 

Here's whats new:

1. New fund performance page

  • New table view with an option to 'switch to chart view'
  • Added metrics definitions and explainer tool tips
  • Period selector to allow you to easily select ‘end of’ last year, quarter, or month.
  • Traceback for very metric so you can to view the underlying source data
  • New API using Carta General Ledger for all contributions and distributions data.

2. New Excel export:

We've added a new export on the page that includes all the metrics and details about the underlying data.


3. Support for parallel entities:

We've also added support for parallel entities (or fund families). You will be able to see all the above features at a consolidated level.

Pre-filling Subscription Documents for Existing LPs

If you are an LP, you’ve felt the pain of filling out subscription documents. You go through the same long investor questionnaire with the same questions for every fund investment you make. With Carta subscription documents, now you don’t have to. 

What’s New 

Limited Partners who have already completed a subscription document on Carta can now re-use their information for future investments. They can add their subscription information in just a few clicks.


How it works

1. Limited Partners select the portfolio for the entity they are investing through

2. The form is pre-filled with information from their previous subscription. Any questions that are specific to this investment are highlighted for the Limited Partner to answer.

3. Limited partners review and confirm their information is correct.
