New for Investors: AI powered Cap table builder

This week we rolled out a new feature for Investors: AI powered document extraction in the Cap table builder. Investors can now upload relevant documents about a company in their portfolio (Articles of Incorporations, Stock Purchase Agreements, Convertible note and SAFE agreements, have those documents automatically populate the fields the cap table builder.

How it works:

1. Investors can add a new company (or edit an existing company) in their portfolio

2. When adding a new company they can input the company name and upload any of the documents they have about the company's ownership structure

3. The cap table builder will read the documents and begin to build out the structure of the cap table

4. The feature will then guide the user through the cap table builder with any field read from the documents pre-filled. This includes the ownership structure and the funds holdings, provided they were available in the Articles of Incorporation and Stock Purchase Agreements.

5. You can review and edit any field in the builder. Once complete it will guide you to the capitalization page of the new portfolio company. 

4. As your portfolio company's cap table evolves over time, you can edit the cap table for any changes using the same workflow.

You can edit the company via the Investments page (Investments > Manage portfolio > Edit) or on the company's capitalization page directly (Company > Capitalization > Update cap table)


Benefits of using Cap table builder:

  1. The cap table builder allows investors to load in any of their portfolio companies not using Carta to share their cap table with them. 
  2. By adding a portfolio companies cap table into their portfolio, investors can:
    1. Use the Scenario modeling and waterfall tools
    2. Create and run ASC 820 valuations
    3. Track ownership over time
    4.  Have a single source of truth for all their portfolio companies' cap tables.

As part of this release we are now enabling Cap table builder for all funds who pay for any of Carta's fund products!

Introducing the Portfolio Events

Portfolio Events

Portfolio Events is a real-time dashboard that surfaces key portfolio company events in a centralized location. 

Get timely insights into financial performance and notifications about key events—such as equity issuances and conversions, updated valuations, and new funding rounds. Any changes made by your portfolio companies will be automatically reflected in your event feed, helping you maintain an open channel of communication without manual back-and-forth.

Who is this available for? 

The Portfolio Events feature is available for investment firms.

How do I use it?

Access the Portfolio Events page from the Tools & Services sidebar menu.

Filter by company name, event type, event date, and entity name. 

View details for any event to see more info on your equity holdings, or on the company’s financing activity or valuation. 

Anything else I need to know?

Portfolio Events rollout is rolling out incrementally to all investor firms. Please reach out to your Account Director with any questions.

Recent releases for QSBS eligible companies and their shareholders

We are continuing to enhance the experience for QSBS-eligible companies and their shareholders. Recently, we have introduced the following features:

1. View previously sold QSBS eligible shares

Shareholders and admins can now see previously sold shares that were QSBS eligible. Users can view this information on Carta directly, as well as the QSBS PDF statement available for download by shareholders.

2. QSBS columns added to the Investment dashboard export

Investors with holdings in QSBS eligible companies can now see the QSBS status, and if applicable, number of QSBS eligible shares the hold in the Investment dashboard export.

3. Financing history now included QSBS Attestation letter's to Company admins

Our QSB Attestation letter to companies now includes a section detailing the financing history of the company. This information impacts the 'aggregate gross assets' test our team preforms during the analysis.

Corporate Transparency Act (CTA) Beneficial Ownership Information Report (BOIR) for Fund Managers

What’s new?

Fund Managers can now use Carta to complete their CTA BOIR submissions to FinCEN with our CTA reporting tool.  

What’s important about this change?

The Corporate Transparency Act (CTA) requires certain business entities to submit a beneficial ownership information report (BOIR) to FinCEN. We’ve made it easy to submit this report with our CTA reporting tool.

Our tool uses information already on Carta to pre-populate required beneficial ownership information, saving fund managers time when filing. Plus, fund managers can rely on our reporting tool to understand the reporting deadline for each of their entities. 

How does it work?

Fund Managers can go to the CTA Reporting tab within the Tools & Services navigation menu to access Carta’s CTA feature. Upon navigating to CTA Reporting, the Fund Manager can select the entity they are filing a BOIR for.

If the reporting entity is not exempt, they should proceed with filling out the three sections of the form: Company Information, Beneficial Owners, and Company Applicants. 

The Company Information is prefilled for the entity including the legal entity name, US business address, and tax identification number. Review and confirm that all prefilled information is current and accurate.

Each Beneficial Owner’s name and address  will be prefilled, if the information is available, for any partner within the entity account who is an individual that has subscribed for 25% or more of the entity’s total commitments. Review details and Beneficial Owner status for all prefilled information to confirm it is current and accurate, or make any corrections needed.

Control persons and indirect owners of 25% or more are not prefilled, so you will also need to add any control persons or individuals who indirectly own 25% or more as additional Beneficial Owners. 

The Company Applicants section is only required for entities incorporated or formed on or after January 1, 2024. Reporting entities that fall into this category will need to provide the company applicant information.

Last, review the information and submit to FinCEN. You’ll get a confirmation screen to let you know the report has been filed.

Carta does not determine the exemption status of the reporting entity. Confirm with your legal team on your entity’s exemption status. For more information on FinCEN exemptions, refer to the FinCEN BOIR frequently asked questions.
